1.PROPERTY TRANSFER

The goods remain the property of the seller until payment is made and received in full by the seller.

2. RISK TRANSFER

The transport of the goods always occurs at the liability of the buyer even when the goods are sold “delivered”.

3. QUANTITY

The quantity is fixed by means of automatic balances and is agreed upon when the goods leave the warehouse of the seller.

4. PAYMENT

General:

All payments have to be made at our registered office, whatever the way of payment is. An interest charge of 12% is due legally and without notice starting from the due date of the invoice.
In addition, in case of non-payment of an invoice at its due date, a fixed compensation of 10% is due on the total amount of the invoice increased by any duty or tax applicable.
In case of non-payment of an invoice at its due date, payment of all other invoices can be claimed immediately, even if a specific term of payment was stipulated.

Invoicing to consumers (B2C):

Invoices should be paid within the payment term. If invoices are not paid on time, a first free reminder will be sent to you. If you again fail to pay within the stipulated payment term as stated on the first reminder, you will be charged interest as stipulated by the Act of 2 August 2002 on combating late payment in commercial transactions as well as a fixed compensation as follows:

• 20 euros if the balance due is less than or equal to 150 euros;
• 30 euros plus 10 % of the amount due on the tranche between 150,01 and 500 euros if the balance due is between 150.01 and 500 euros;
• 65 euros plus 5 % of the amount due on the tranche above 500 euros with a maximum of 2.000 euros if the balance due is above 500 euros.

The reminder fee for each additional reminder is €7.50 plus postage costs applicable at the time of sending.

5. DISPUTES

In case of disputes the Court of the juridical District of Bruges is competent. Belgian law applies and these conditions of sale are always applicable, even stipulated otherwise on order forms or written forms from the buyer.
